Lavan's Corporate Services team aims to assist and facilitate transactions, expediting positive outcomes whilst avoiding unnecessary and protracted legal negotiations.  

Where required, we take on the role of advisers, not just lawyers.

We offer a multidisciplinary teams approach - where required we draw on our tax, corporate, finance, employment and property specialities.

We specialise in Corporations Act matters and have a wealth of experience in giving general commercial and business advice and in drafting commercial documents.  We are experienced in all aspects of managed investment schemes and financial services law.  In addition, our team provides comprehensive tax and stamp duty advice in relation to corporate and business transactions.

Our team has acted on many of the State’s largest corporate and business transactions and represents significant government and private enterprise clients in these areas.

Our Services 

Acquisitions and divestments

We have acted on many of the State’s complex mergers, acquisitions and takeovers.  In addition to a detailed knowledge of the relevant law, these transactions require project management to document complex syndicate agreements and acquisition contracts.  We provide innovative solutions to complex acquisition projects and assist in undertaking due diligence in projects.  Such due diligence reports would typically include legal risk issues, regulatory issues, native title and environment risk issues.

Business services

We provide advice on an extensive range of business related matters including sale and purchase arrangements, joint ventures, partnerships, trust law, franchising, technology contracts, loan and other financial documentation, consultancy arrangements, managed investment schemes and AFSL, and private company related matters such as shareholder documents and Division 7A loans.  We have accumulated a wealth of experience in giving general commercial advice and drafting commercial documents that are easy to read and comprehend.  We offer strategic advice on deals, commercial structures and negotiations.

Corporations Act

We specialise in Corporations Act matters such as notices of meetings and explanatory statements, share buy backs, related party transactions, share purchase plans, ASX waiver applications and appeals, applications for exemptions and modifications to Corporations Act and employee share/option plans.  We have long-standing relationships with regulators such as the Australian Securities and Investments Commission (ASIC), which can expedite your project.

Dispute Resolution

Lavan's Corporate and Commercial Litigation team can provide assistance where it is anticipated that disputes may arise or where disputes have arisen in a number of corporate areas including shareholder disputes, minority oppression and director removal.  We have extensive experience in the area of commercial dispute resolution including in all courts and tribunals in Western Australia.

Foreign investment

We have experience in advising international clients on regulation of foreign investment in Australia.  Australia’s foreign investment regulatory framework and approval process is complex and subject to frequent revision.  Our team provides practical advice on the latest policy guidelines and assistance in obtaining approval from the Foreign Investment Review Board (FIRB).

Fundraising and IPOs

We can help guide companies through the listing process, whether through the "front door" via initial public offering, or the "back door" via reverse takeover.  Our role involves preparing the required disclosure documents, establishing a robust due dilligence regime with a view to accessing relevant securities law defences, preparing ASX listing applications and liaising with regulators. 

We have acted for both issuers and underwriters/managers across a range of offer structures including private placements, right issues, bonus issues and share purchase plans.
